Terms and Conditions

Introduction

Thank you for registering for Invest Canada ’24 (the “Conference“), hosted by the Canadian Venture Capital and Private Equity Association (“CVCA“) and Réseau Capital. Regardless of whether your registration is submitted by you or your proxy, the following Terms and Conditions (“Conference Terms“) apply to you and your participation in any CVCA event, both in-person and virtual. “Attendee” for purposes of these Conference Terms will include all participants at the Conference, including sponsors, partners, and attendees. By participating in this Conference, you agree to these Conference Terms so please read them carefully. If you have any questions, please contact membership@cvca.ca

These Terms include and incorporate CVCA’s Privacy Policy and Réseau Capital’s privacy policy. Please refer to these privacy policies for more information about the collection, use, and disclosure of your personal information.

This Conference is organized by the CVCA and Réseau Capital, each of which reserves the right, in its sole discretion, to limit or deny access to any entity or individual to the Conference.

Registration Information

Conference Communications:

By completing an Invest Canada ’24 registration, you consent to receive communications from the CVCA and Réseau Capital in respect of Conference information, events and activities. You further consent to receive and send personal messages and/or video call invitations.

Cancellation/Refunds:

There is no refund for canceling your registration to the Conference. Substitutions are permitted.

For Substitutions: If you are unable to attend the Conference, you may send someone in your place. Substitutions may be made on or before Monday, May 27, 2024, with written confirmation from the person registered. Note: If you are a CVCA member or Réseau Capital member and your replacement is a non-member, the difference in fees must be paid.

Payment Processing Fees:

A payment processing fee of 2.5 % will be applied to the cost of the ticket. This fee covers the cost associated with processing payments and is necessary to facilitate secure transactions. The fee is calculated based on the total cost of the ticket and is added to the final amount charged.

INFORMATION PUBLICATION

Only persons authorized by CVCA and/or Réseau Capital may make audio/video recordings at the Conference. Third party recordings are prohibited.

You grant the CVCA and Réseau Capital, its representatives, employees, contractors, and agents (collectively, “Authorized Persons“), the right (without obligation) to record audio and video, take photographs, and make screenshots and recordings of virtual participation, in the course of the Conference, which may include recordings of you (“Recording“). You grant the Authorized Persons the worldwide, perpetual right (without obligation) to make, record, edit, adapt, use, sell, and publish the Recordings, including your name, image, likeness, appearance, and voice, for any purpose. You hereby assign to CVCA all right, title, and interest you may have (if any) in and to the Recording, and you hereby waive all moral rights therein, automatically upon creation of the Recording.

IMPORTANT SECURITY NOTICE: Please be aware that there has been a persistent scam affecting numerous events and organizations in North America for over a decade, falsely claiming to possess attendee lists for events, which may include the Conference. We want to clarify that these claims are part of a fraudulent scheme. Should you receive any such solicitations, we urge you to report them immediately to the Canadian Spam Reporting Centre at spam@fightspam.gc.ca. Additionally, please mark these emails as spam in your email service. The CVCA and Réseau Capital prioritize the security and privacy of our members and attendees, and we are committed to taking proactive measures against such deceptive practices, as further detailed in our privacy policies.

CODE OF CONDUCT FOR THE CONFERENCE

CVCA and Réseau Capital believe in equality for all. As such, we are committed to creating event environments that are diverse, inclusive, safe and free from discrimination, regardless of race, religion, color, national origin, sexual orientation, gender expression or identity, age, disability, marital status or any other classification protected by law.

We ask that all attendees, speakers, partners, sponsors and other guests of the Conference behave respectfully. Harassment, discrimination, bullying and other unacceptable behaviour will not be tolerated. If you are asked to stop or modify your behaviour in accordance with these principles, you are expected to do so immediately and respectfully.

If you have a complaint or concern about harassment, discrimination, bullying or any other conduct, we encourage you to tell event staff or security personnel immediately. You may request that your report remain confidential.

LIMITATION OF LIABILITY

EXCEPT WHERE SUCH EXCLUSIONS ARE PROHIBITED BY LAW, UNDER NO CIRCUMSTANCE WILL THE CVCA, RESEAU CAPITAL, OR THEIR RESPECTIVE PARENT, SUBSIDIARIES, AFFILIATES OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, OR SUCCESSORS BE LIABLE FOR NEGLIGENCE, GROSS NEGLIGENCE, NEGLIGENT MISREPRESENTATION, FUNDAMENTAL BREACH, DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT, BREACH OF CONTRACT, BREACH OF PRIVACY, OR OTHERWISE, EVEN IF THE PARTY WAS ALLEGEDLY ADVISED OR HAD REASON TO KNOW, ARISING OUT OF OR IN CONNECTION WITH YOUR ATTENDANCE AT THE CONFERENCE.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, IN NO EVENT SHALL THE CVCA’S AND RESEAU CAPITAL’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED CAD $100.00.

THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF YOUR REMEDIES UNDER THIS AGREEMENT FAIL OF THEIR ESSENTIAL PURPOSE.
